These Terms and Conditions include two separate sets of terms: (1) Lead Generation Terms and (2) Website Design, Development, Hosting and Maintenance Terms. The terms that apply to you depend on the services you purchase from Smart Leads. If you purchase both lead generation and website services, each set of terms applies to its own scope, and both sets apply together where relevant.

These Terms and Conditions (the “Agreement”) govern the marketing and lead generation services provided by Smart Leads LTD (“Company,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”). By using our services, you acknowledge and agree to these terms.

1. SERVICES PROVIDED
1.1 Scope of Services
Smart Leads LTD provides lead generation and online marketing services for moving companies. Our services include but are not limited to:
1.2 Performance Expectations
Smart Leads LTD utilises industry best practices to generate leads. However, the Company does not guarantee specific job bookings or revenue outcomes. The effectiveness of lead generation depends on various factors, including market conditions, competition, and the Client’s responsiveness in following up with leads.
2. REFUND POLICY
2.1 Guarantee Conditions and Applicability
Smart Leads LTD may offer different performance guarantees depending on the Client's industry, location, level of competition, and overall client type. Any alternative guarantee must be expressly confirmed in writing to the Client.
If the Client has not received any other written guarantee confirmation, the following standard guarantee will automatically apply.
Smart Leads LTD guarantees at least one booked job within the first thirty (30) days of a campaign (the "Guarantee Period"). If no booked jobs are generated within the Guarantee Period, the Client may request a full refund, provided the following conditions are met:
Lead Response Time - The Client must call each lead within 30 minutes of receiving the notification. Failure to do so voids the guarantee.
Commitment to the Full 30 Days - The Client must allow the campaign to run for the full 30-day period and implement any optimisation recommendations. Early termination forfeits the guarantee.
Implementation of Smart Leads LTD's Recommendations - If the Company provides recommendations regarding pricing, service offerings, or sales processes, the Client must make a reasonable effort to implement them.
Payment Compliance - All invoices must be paid in full and on time. Any chargebacks or disputes void the guarantee.
Definition of a Booked Job - A "booked job" is defined as any qualified lead that expresses a clear intent to book a relevant service (for example, confirming a date, time, and acceptance of pricing, subject only to standard terms and conditions). If the Client is unable to take the job due to prior commitments, scheduling conflicts, or being at full capacity, it will still be counted as a booked job for the purposes of this guarantee, provided the lead was legitimate and ready to book.
Guarantee offers are subject to change based on industry and client type. Any such variation will only apply where confirmed in writing. In the absence of any other written guarantee confirmation, this standard one-booked-job guarantee applies by default.
2.2 Refund Process
If all conditions are met and no booked job is generated within the Guarantee Period, the Client must submit a refund request in writing within five (5) business days following the end of the 30-day period. Refunds will be processed within fifteen (15) business days of approval.
2.3 Definition of a Lead
A lead is defined as a potential customer who voluntarily submits their contact details (name, phone number, and/or email) in response to an advertisement. A lead is considered delivered once it enters the Client's system, regardless of whether the potential customer answers calls or proceeds to book a service.
2.4 Verification of Lead Handling
In order to uphold the integrity of the guarantee, Smart Leads LTD reserves the right to request supporting evidence that the Client has complied with the lead follow-up protocols outlined in this Agreement. This may include, but is not limited to, call logs, CRM activity records, and proof of attempted contact. Failure to provide reasonable verification upon request may result in forfeiture of the guarantee and ineligibility for any refund.
3. CLIENT RESPONSIBILITIES

At the end of the first month, the Client should have 75–100 leads in their ad account, provided they meet all conditions outlined in Section 2.
5. PAYMENT TERMS & CANCELLATION POLICY
5.1 Billing & Payment
All payments must be made in full before campaign launch, unless otherwise agreed in writing.
5.2 Cancellation Policy
5.3 Chargebacks & Payment Disputes
Any chargebacks or payment disputes will result in immediate suspension of services. Any fees incurred from payment disputes will be the responsibility of the Client.
6. LIMITATION OF LIABILITY
6.1 No Guarantees on Revenue or Job Bookings
Smartleads LTD does not guarantee that leads will convert into booked jobs or revenue. The Client’s follow-up and sales process determine conversion success.
6.2 External Factors Beyond Our Control
Smartleads LTD is not responsible for:

In no event shall Smartleads LTD’s liability exceed the total fees paid by the Client in the preceding 30-day period.
7. GOVERNING LAW & DISPUTE RESOLUTION
7.1 Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of New Zealand.
7.2 Dispute Resolution & Arbitration
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in Auckland, New Zealand, with each party responsible for their own legal costs.
8. MISCELLANEOUS
8.1 Entire Agreement
This Agreement constitutes the entire understanding between Smartleads LTD and the Client. No verbal agreements shall override these terms.
8.2 Amendments
Smartleads LTD reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes.
8.3 Severability
If any provision of this Agreement is deemed invalid, the remainder of the Agreement shall remain in full effect.
8.4 Force Majeure
Smartleads LTD shall not be liable for any failure to perform due to events beyond our control, including natural disasters, government actions, or platform outages.
9. ACCEPTANCE OF TERMS
By using Smartleads LTD’s services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
10. SMS MESSAGING TERMS (A2P)
By opting in to receive SMS from Smart Leads LTD, you agree to receive text messages related to enquiries, booking confirmations, appointment reminders, missed-call follow-ups, account updates, and support. Marketing messages (if any) will only be sent where you have separately opted in. Message frequency may vary. Message and data rates may apply.

11. UNAUTHORISED USE & POST-TERMINATION OBLIGATIONS
11.1 Cessation of Use
Upon termination of services, the Client must immediately cease all use of Smart Leads LTD’s advertising creatives, campaigns, strategies, landing pages, CRM automations, and any other materials developed or provided by Smart Leads LTD.
11.2 Injunction and Equitable Relief
Smart Leads LTD shall be entitled to seek immediate injunctive relief (without the need to prove damages) to prevent any unauthorised use, dissemination, or continuation of service materials following termination. The Client agrees that such unauthorised use would cause irreparable harm.
11.3 Liquidated Damages
In the event of post-termination use of any intellectual property or service material without express written permission, the Client agrees to pay liquidated damages equal to NZD $5,000 per occurrence, or twice the monthly service fee previously paid—whichever is greater. This provision is not a penalty but a reasonable pre-estimate of losses, reputational damage, and enforcement costs.
11.4 Legal Costs
The Client shall be liable for all legal fees, enforcement costs, and any related expenses incurred by Smart Leads LTD in the investigation, pursuit, or litigation of any unauthorised use.

These Terms and Conditions (the Agreement) govern Smart Leads LTD’s provision of website design, development, hosting, maintenance, and related services (Services) to the client (Client). By signing a proposal/SOW, paying an invoice, providing a purchase order, granting access to assets or systems, or otherwise instructing Smart Leads to proceed, the Client agrees to be bound by this Agreement.
Definitions:
Agreement: These Terms and Conditions together with the applicable proposal, quote, or statement of work (SOW), and any referenced schedules or policies.
Smart Leads: Smart Leads LTD and its directors, employees, contractors, and approved subcontractors.
Client: The person or business purchasing the Services and agreeing to this Agreement.
Services: Website design, development, hosting, maintenance, and related services provided by Smart Leads as described in the SOW.
SOW: The proposal, quote, scope of work, or statement of work that sets out the specific Services, Deliverables, milestones, fees, and timelines for the Client.
Deliverables: The work outputs Smart Leads produces under the SOW (for example, website pages, layouts, configuration, and implementation work).
Client Materials: All text, images, videos, logos, fonts, data, trademarks, and other materials supplied by the Client, or that the Client requests Smart Leads to use on the website.
Smart Leads Tools: Smart Leads’ pre-existing or general tools and assets, including frameworks, templates, themes, libraries, design systems, code snippets, know-how, and generalised software components.
Third-Party Materials: Any third-party content, software, fonts, plugins, stock media, open-source components, or services used in connection with the website that are owned or licensed by third parties and subject to their terms.
Milestone: A project stage or deliverable checkpoint described in the SOW, often linked to a review and/or payment stage.
Business Day: A day that is not a Saturday, Sunday, or public holiday in Auckland, New Zealand.
Go-Live: The date the website is published to the live production domain or otherwise made publicly accessible as the live version.
Warranty Period: The 30-day period from Go-Live described in clause 5.3, unless the SOW states otherwise.
Fees: The amounts payable by the Client to Smart Leads for the Services as set out in the SOW or invoice, excluding any third-party costs unless stated.
Disbursements: Pass-through costs charged by third parties (for example, domains, hosting, premium plugins, fonts, stock media, CDN, email/SMS gateways), as referenced in the SOW or invoiced separately.
Maintenance Plan: Any ongoing support, update, monitoring, backup, or related services described in the SOW or Schedule A, if purchased.
SLA: A service level agreement with specific uptime or response commitments, only if expressly included in the SOW.
T&M: Time and materials, meaning work billed based on time spent at Smart Leads’ then-current rates plus any applicable costs.
Personal Information: Information about an identifiable individual collected or processed through the website (for example, contact form submissions), as referenced in clause 9 and Schedule B.
Sub-Processor: A third-party provider engaged by Smart Leads to support delivery of the Services (for example, hosting, monitoring, backups, email services), as referenced in clause 9 and Schedule B.
Relationship to Lead-Gen Terms.
If you also purchase our marketing/lead-generation services, those are governed by your Lead Generation Terms (Effective 24 Feb 2025; Last Updated 1 Aug 2025). If there is any inconsistency, each set of terms prevails for its own scope; common provisions (e.g., governing law, dispute resolution) are cumulative.
1. Scope, Deliverables & Change Control
1.1 Scope & Deliverables.
The Services, milestones, and deliverables (Deliverables) are as described in the applicable proposal, quote, or statement of work (SOW).
1.2 Out-of-Scope.
Unless expressly stated in the SOW, the following are out of scope: copywriting; photography/videography; logo/brand design; accessibility audits/certification; legal or regulatory review (e.g., privacy/health/financial claims); ongoing content updates; SEO beyond on-page best practices; complex integrations; advanced performance tuning; custom plugin or app development; email configuration and deliverability remediation; and paid third-party fees (domains, hosting, premium plugins, fonts, stock media, CDN, email/SMS gateways).
1.3 Changes.
Any variation, new feature, revision after sign-off, or scope growth requires a written change order and will be billed at Smart Leads’ then-current rates and/or additional fixed fees, with revised timelines.
2. Client Obligations & Content Warranties
2.1 Timely Inputs.
Client must provide timely access, content, approvals, credentials, test data, and decision-makers. Delays by Client extend timelines and may incur stand-down or rescheduling fees.
2.2 Content Ownership & Licence-In.
Client represents and warrants that it owns or has secured all necessary rights, licences, consents, and permissions for all text, images, videos, logos, fonts, data, trademarks, and other materials supplied or requested to be used on the site (Client Materials), and that the use, reproduction, modification, public display, and distribution of Client Materials by Smart Leads does not infringe any third-party rights (including copyright, privacy, publicity, or trade marks).
2.3 Copyright/Trade-Mark Indemnity.
Client will indemnify, defend, and hold harmless Smart Leads and its personnel against all claims, losses, costs (including full legal costs), liabilities, and damages arising from or related to Client Materials or instructions, including IP infringement or alleged infringement, defamation, or unlawful content.
2.4 Content Review.
Client is solely responsible for the accuracy, legality, and compliance of all website content, disclosures, offers, promotions, and claims (including health, finance, and comparative claims).
2.5 Fines, Penalties & Infringement Notices.
Client is solely responsible for any fines, penalties, infringement notices, takedown requests, or claims arising from the use of Client Materials or Client instructions, including use of images sourced from Google or other third parties without proper permission. Smart Leads is not responsible for independently verifying or policing licences, permissions, or consents for Client Materials and may rely on the Client’s warranties and instructions. Client will indemnify and reimburse Smart Leads and its personnel for any losses, costs, liabilities, damages, and expenses (including full legal costs) arising from or related to such matters. If Smart Leads receives any complaint or notice, Smart Leads may remove, disable, or replace the relevant content immediately to reduce risk, and any investigation, replacement, or remediation work will be billable at Smart Leads’ then-current rates.
3. Intellectual Property
3.1 Ownership Split.
(a) Client Materials remain Client’s property.
(b) Smart Leads Tools (including frameworks, templates, themes, libraries, design systems, code snippets, know-how, and pre-existing or generalized software) remain Smart Leads’ property.
(c) Third-Party Materials (e.g., open-source, premium plugins, fonts, stock media) remain owned/licensed by their respective owners and are subject to their terms.
3.2 Deliverables Licence & Assignment.
Upon full and cleared payment of all fees and expenses for the relevant milestone/Deliverables, Smart Leads grants Client a non-exclusive, non-transferable, worldwide licence to use the Deliverables as deployed on Client’s website for Client’s internal business purposes. Where the SOW expressly provides for assignment of specific bespoke Deliverables, such assignment is effective only upon full payment and excludes Smart Leads Tools and Third-Party Materials (which are only licensed).
3.3 Portfolio & Attribution.
Client grants Smart Leads the right to display the website, screenshots, and Client’s name/logo in portfolios, case studies, and marketing, and to place a discreet “Built by Smart Leads” attribution link in the site footer (removal on request may incur a reasonable fee).
3.4 Open-Source & AI Components.
Deliverables may include open-source or AI-assisted components. Such components are supplied and licensed under their respective licences (including any copyleft obligations) and without warranty beyond what those licences provide.
4. Fees, Invoices, Taxes & Suspension
4.1 Fees & GST.
Fees are as per the SOW/quote and are exclusive of GST and disbursements (domains, premium plugins, stock, etc.).
4.2 Deposits & Milestones.
Deposits are non-refundable once work commences. Milestone invoices are due on presentation, unless otherwise agreed in writing.
4.3 Late Payment.
Overdue amounts may incur interest at the lesser of 1.5% per month or the maximum permitted by law, plus collection costs. Smart Leads may suspend work/hosting for non-payment after reasonable notice; reactivation may incur a fee.
4.4 No Set-Off.
Client must pay invoices without set-off, counterclaim, or deduction.
4.5 Price Changes.
Recurring hosting/maintenance/plugin pass-through fees may change with 30 days’ notice.
5. Project Process, Acceptance & Warranty
5.1 Staging & Reviews.
Smart Leads will provide previews or staging links for review.
5.2 Acceptance Testing.
Client will have five (5) business days from delivery of each milestone to test and either (i) provide a consolidated list of reasonable defects (not change requests) for remediation, or (ii) confirm acceptance. If Client does not respond in that window, the milestone is deemed accepted.
5.3 Go-Live & Warranty.
For 30 days from go-live (the Warranty Period), Smart Leads will remediate reproducible defects that materially deviate from the accepted spec/environment. The warranty excludes: changes in Client requirements; content or data issues; third-party failures; updates to CMS/plugins/browsers/OS; security incidents caused by credentials or third parties; and any items outside the original scope. Post-Warranty, support is billed under a maintenance plan or at time-and-materials rates.
5.4 Browser/Device Support.
Unless otherwise agreed, Smart Leads targets the latest two stable versions of major desktop and mobile browsers. Internet Explorer and legacy/embedded browsers are not supported.
6. Hosting, Maintenance, Security & Backups (if purchased)
6.1 Hosting.
If hosting is provided by Smart Leads or its sub-processors, Smart Leads will use reasonable endeavours to provide reliable service; no specific uptime is guaranteed unless the SOW includes an SLA. Smart Leads may perform routine maintenance, patching, or emergency work.
6.2 Backups.
If a backup service is included, Smart Leads will perform routine backups with a rolling retention window described in the SOW. Backups are a reasonable-efforts safeguard only and are not a guarantee against data loss. Restoration work may incur fees.
6.3 Security.
Smart Leads applies reasonable industry practices within scope. Client is responsible for user administration, strong passwords, MFA, device security, and third-party accounts (e.g., registrar, DNS, email/SMS gateways). No system is completely secure; Smart Leads does not warrant against cyber incidents.
6.4 Acceptable Use.
Client must not use the hosting for unlawful content; malware; spam; abusive traffic; high-risk data without agreement; or resource-exhaustive workloads. Smart Leads may suspend service to protect the platform or comply with law.
7. Third-Party Services & Deliverability
7.1 Third-Party Dependencies.
Domains, DNS, CDNs, analytics, payment processors, CRMs, email/SMS gateways, and plugin vendors are third-party services outside Smart Leads’ control. Their outages, policy changes, or restrictions may impact the site.
7.2 Email/SMS Deliverability.
Smart Leads does not guarantee inbox placement or carrier/SMS delivery. Warm-up, authentication (SPF/DKIM/DMARC), and reputation management are Client responsibilities unless expressly included.
7.3 Licences & Renewals.
Client is responsible for obtaining and renewing any required third-party licences unless the SOW states Smart Leads will procure and on-charge them.
8. Compliance, Accessibility & SEO
8.1 Legal Compliance.
Client is responsible for ensuring the website and its content comply with applicable laws, sector rules, and platform policies (privacy, cookies, consumer, advertising, promotions, health/financial claims, accessibility, record-keeping).
8.2 Privacy & Cookies.
Client must implement a compliant privacy policy and cookie notice/consent mechanism suitable for its audience and jurisdictions.
8.3 Accessibility (WCAG).
Unless expressly included, Smart Leads does not provide accessibility audits or certification; any accessibility assistance is best-efforts only.
8.4 SEO.
Smart Leads may apply on-page best practices; no ranking or traffic results are guaranteed.
9. Data Protection (Privacy Act 2020 / GDPR-style)
9.1 Roles.
For personal information submitted via the website, Client is the “agency”/controller and Smart Leads is the “service provider”/processor.
9.2 Processor Obligations.
Smart Leads will: (a) process personal information only on documented instructions from Client; (b) implement reasonable technical and organisational measures; (c) assist with reasonable data-subject requests and security incident notifications, at Client’s cost; (d) ensure confidentiality of personnel; and (e) sub-process with reputable providers (a list is available on request and may be updated).
9.3 International Transfers.
Personal information may be transferred or stored outside New Zealand. Smart Leads will take reasonable steps to ensure substantially similar safeguards.
9.4 Deletion/Return.
On written request following termination and subject to law and backups, Smart Leads will delete or return personal information processed on Client’s behalf; reasonable recovery/export fees may apply.
10. Term, Cancellation & Termination
10.1 Term.
Project work runs until final acceptance/go-live (and, if applicable, any Warranty Period). Hosting/maintenance plans renew month-to-month unless the SOW states otherwise.
10.2 Client Cancellation.
Client may cancel a project before go-live on written notice; Client must pay all work performed, committed third-party costs, and a reasonable wind-down fee. Deposits are non-refundable once work has commenced. Hosting/maintenance can be cancelled with 30 days’ written notice.
10.3 Termination for Cause.
Either party may terminate for material breach not remedied within 10 business days of written notice. Smart Leads may terminate immediately for illegal or high-risk use, non-payment, or platform abuse.
10.4 Post-Termination.
Upon termination: (a) all licences from Smart Leads cease except as required by law; (b) Smart Leads may disable access; (c) Client must cease using Smart Leads’ IP, designs, templates, and confidential information; and (d) any re-enablement/migration is billable.
11. Warranties, Disclaimers & Liability
11.1 Mutual Authority.
Each party warrants it has authority to enter this Agreement.
11.2 Service Disclaimer.
Except as expressly stated, Services and Deliverables are provided “as is”. Smart Leads disclaims all implied warranties to the maximum extent permitted by law, including fitness for a particular purpose and non-infringement.
11.3 Limitation of Liability.
To the maximum extent permitted by law, Smart Leads’ aggregate liability arising out of or related to this Agreement will not exceed the fees paid by Client to Smart Leads in the 3 months preceding the event giving rise to the claim. Smart Leads is not liable for indirect, consequential, special, exemplary, or punitive damages; loss of profit, revenue, goodwill, data; or business interruption.
11.4 Fair Trading Act & Consumer Guarantees Act (Business-to-Business).
Both parties confirm they are “in trade.” To the fullest extent permitted by law, the parties contract out of the Consumer Guarantees Act 1993 and sections 9, 12A, and 13 of the Fair Trading Act 1986. The parties agree it is fair and reasonable to do so.
12. Confidentiality & Non-Solicitation
12.1 Confidentiality.
Each party must keep the other’s non-public information confidential and use it only to perform this Agreement.
12.2 Non-Solicitation.
During the term and for 12 months after, Client will not directly solicit employment or contract engagement of Smart Leads’ personnel who worked on the account (reasonable general advertising excluded).
13. Force Majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control (including natural disasters, pandemics, labour disputes, power or Internet failures, platform outages, government action).
14. Notices, Electronic Acceptance & Records
14.1 Notices.
Formal notices must be sent to the addresses above (or as updated in writing). Operational communications may be by email or ticketing system.
14.2 Electronic Acceptance.
The parties consent to electronic records and signatures under the Contract and Commercial Law Act 2017.
14.3 Counterparts.
This Agreement may be executed in counterparts.
15. General
15.1 Governing Law & Disputes.
New Zealand law governs. The parties will attempt good-faith resolution; if unresolved, disputes will be submitted to binding arbitration in Auckland, New Zealand, with each party bearing its own costs, subject to any award.
15.2 Entire Agreement & Order of Precedence.
This Agreement + the SOW + any referenced policies comprise the entire agreement. In any conflict, the SOW prevails for scope/price/timelines, then this Agreement.
15.3 Amendments.
Smart Leads may update these terms from time to time; material changes will be notified. Continued use of Services after notice constitutes acceptance.
15.4 Severability; No Waiver.
If any provision is unenforceable, the remainder remains effective. No failure or delay to enforce is a waiver.
15.5 Assignment & Subcontracting.
Client may not assign without Smart Leads’ consent (not unreasonably withheld). Smart Leads may subcontract; Smart Leads remains responsible for subcontractors’ performance.
15.6 Interpretation.
“Including” means “including without limitation.” Headings are for convenience only.
Schedule A - Hosting/Maintenance Summary (If Purchased)
Maintenance: CMS/plugin/theme updates, light security hardening, uptime checks; reasonable-efforts only; breaking changes remediated on T&M unless caused by Smart Leads’ negligence.
Backups: Frequency/retention per SOW; restoration billed unless due to Smart Leads’ fault.
Support Hours: Business hours NZT; after-hours emergency support if available at premium rates.
Response Targets (non-SLA): P1 within 4 business hours; P2 within 1 business day; P3 within 3 business days. Targets are not guarantees unless SOW states an SLA.
Schedule B - Data Processing Addendum (Summary)
Subject Matter & Duration: Processing personal information in connection with hosting and website operation for the term of the Agreement.
Nature & Purpose: Storage, transmission, and limited manipulation of contact data submitted through website forms.
Types of Data & Data Subjects: Site visitors, customers, and leads; contact details and message content.
Security: Reasonable technical and organisational measures appropriate to risk; details available on request.
Sub-Processors: Infrastructure, hosting, monitoring, backup, and email providers; list available on request; Client may object on reasonable grounds.
Incidents: Smart Leads will notify Client without undue delay upon confirming a personal data breach affecting Client data and will cooperate in remediation.
